Terms and Conditions of Booking (“Terms”)

1. Booking. Subject to the remaining provisions of these Terms, Salon Suites London Ltd (“Salon Suites) permits the Customer to use the Room for the provision of wellness and beauty therapies (the Permitted Use) for each Booking Period. Subject to these Terms, the Customer may also during each Booking Period use the common areas in the building as designated by Salon Suites from time to time, such as toilets, showers and break out rooms. The Customer needs to provide all supplies necessary for the Permitted Use. The Customer acknowledges that: (a) the Customer shall be permitted to use the Room at the discretion of Salon Suites and no relationship of landlord and tenant is created between Salon Suites and the Customer; (b) Salon Suites retains control, possession and management of the Room and the Customer has no right to exclude Salon Suites from the Room; (c) the Customer’s Booking is personal to the Customer and is not assignable and the rights granted by these Terms may only be exercised by the Customer; and (d) without prejudice to Salon Suites’s rights to terminate the Booking in accordance with these Terms, Salon Suites shall be entitled at any time to require the Customer to transfer to an alternative room elsewhere within the Building and the Customer shall comply with such requirement. Any Room allocated for use by Salon Suites is for temporary, non-exclusive use and does not constitute any form of tenancy of such Room. Where the Customer comprises more than one person or entity then obligations of the Customer take effect as joint and several obligations.

2. Permitted Use The Customer may use the Room only for the Permitted Use during each Booking Period and for no other purpose. The Customer agrees not to seek to enter either the Room or the Building outside of a Booking Period. When the Customer vacates the Room after each Booking Period, the Customer shall ensure that the Room is left in a clean and tidy state, removing all of the Customer’s equipment and possessions from the Room and properly disposing of any rubbish. Any equipment or personal possessions belonging to the Customer and not removed at the end of the Booking Period shall be deemed abandoned by the Customer, and Salon Suites shall have the right, but not the obligation, to remove and dispose of such abandoned equipment or possessions at the Customer’s sole cost and risk. The Customer shall at all times maintain sufficient supervision and control of its invitees. The Customer shall not: (a) create a nuisance or make any use of the Room that is offensive, illegal, immoral, noisy, noxious or dangerous or may in Salon Suites’s opinion damage the reputation of Salon Suites or its business; (b) be rude or abusive to any of Salon Suites’s employees or any other occupier of the Building or (c) act or fail to act in any manner that could result in injury or harm to any person in or about the Room or the Building or create a nuisance or disruption or cause annoyance to Salon Suites or other tenants or licensees in the Building or that could result in any smoke or fire alarms in the Building being set off. The Customer shall reimburse Salon Suites for any call out charges that Salon Suites incurs or suffers from the fire brigade arising due to any act or omission of the Customer or any of its invitees. The Customer shall, and shall instruct invitees to, act in accordance with Salon Suites’s rules and regulations as may be updated from time to time by Salon Suites in its absolute discretion. For the avoidance of any doubt, the Customer shall be solely responsible for obtaining any licences, permissions or consents required from any third party or authority in order to carry out the Permitted Use at the Room.

3. Booking Fee. The Booking Fee is for use of the Room and its supplied furniture only. The Customer shall pay the Booking Fee to Salon Suites on the date on which the Booking is made. The Customer agrees to Salon Suites automatically charging any stored payment method and card details will be stored by a 3rd party payment processing company in accordance with applicable legislation. No refunds or discounts will be made should the Customer subsequently for any reason decide not to use the Room during a Booking Period.

4. Interest. The Customer shall pay to Salon Suites interest on any amounts due under these Terms which are not paid on the due date for payment at the rate of 6% per annum above the base rate of Barclays Bank Plc from time to time calculated on a daily basis from the due date until the date that payment is received.

5. VAT. All sums payable by the Customer are inclusive of any value added tax chargeable under the Value Added Tax Act 1994 and any similar replacement tax and any similar additional tax (VAT)

6. State of the Room. Salon Suites shall provide the Room and any supplied furniture in a clean and tidy state and the Customer agrees to leave the Room at the end of the Booking Period in the same state and condition with any equipment, personal possessions and rubbish removed and not to cause any damage to the Room or any of its contents. The Customer shall be responsible for providing its own hazardous waste receptacles and shall not deposit any hazardous or harmful waste in the rubbish for the Building. No food may be left in the Building overnight. Salon Suites reserves the right to change the equipment, decoration, furniture and/or fittings in the Room as and when necessary. The Customer acknowledges and agrees that neither Salon Suites, nor any employee, agent nor representative of Salon Suites, has made any representation or warranty, express or implied, of any kind as to the condition of the Room or its suitability for the Permitted Use.

7. Alterations and Signage. The Customer shall not make any alterations or changes of any kind to the Room and shall not display any advertisement, signboards, nameplates, posters or notices in the Room or elsewhere at the Building.

8. Termination and End of the Booking Period. Salon Suites may terminate any Booking Period with immediate effect at any time in the event of any non-payment by the Customer; if there is any breach of these Terms; or if Salon Suites’s own tenancy of the Room is terminated or otherwise determined for any reason. Termination or expiry of any Booking Period will not affect the rights of Salon Suites in connection with any breach of any obligation under these Terms which existed at or before termination/expiry. If the Customer fails to vacate and return the Room after the termination or expiration of any Booking Period in accordance with these Terms, then, in addition to all other remedies Salon Suites may have at law, in equity or under these Terms, (i) the Customer shall pay to Salon Suites on demand a sum equal to £200 Pounds per day until the Customer does vacate and return the Room in accordance with these Terms.

9. Insurance. The Customer shall maintain all insurance required for the Permitted Use. The Customer shall be responsible for the insurance of all its belongings whilst at the Building and Salon Suites shall have no liability whatsoever in respect of any loss, destruction, damage or theft of the same.

10. Use of communal areas. The Customer shall be responsible for leaving all communal areas including but not limited to any kitchen, toilets/restroom, corridors, outdoor areas and waste disposal area clean after use.

11. Compliance with laws: The Customer shall make themselves aware of and comply with all appropriate health and safety laws and any other legislation relating to the Customer’s use of the Room for the Permitted Use.

12. Indemnity. The Customer shall indemnify Salon Suites and keep Salon Suites indemnified against all losses, claims, demands, actions, proceedings, damages, costs, expenses or other liability in any way arising from: (a) any breach of these Terms by the Customer and/or (b) the Customer’s use of the Room and the Building.

13. Limitation of Salon Suites’s liability. To the maximum extent permitted by law, the Customer’s activities on and use of the Room and the Building shall be at the Customer’s sole risk. Nothing in these Terms shall limit or exclude Salon Suites’s liability where either (a) death or personal injury is caused by negligence on the part of Salon Suites or its employees or (b) any matter in respect of which it would be unlawful for Salon Suites to exclude or restrict liability.

14. Governing law and Jurisdiction. These Terms and any dispute or claim arising out of or in connection with these Terms (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms (including non-contractual disputes or claims).
